Our company was incorporated in the state of Delaware in 1993 under the name SCP Holding Corp. In 1995 the name was changed to the present-day SCP POOLCORP. (POOL). Since that time, we have grown substantially to become the world’s largest wholesale distributor of swimming pool supplies, equipment and related outdoor leisure products. With over 240 service centers operating in eight countries, our broad range of products coupled with our commitment to excellence has resulted in our continued growth as we strive to honor our mission.

POOLCORP continues to build on our core strengths, focusing on growing our customers’ businesses faster than the overall market and incrementally improving all aspects of our business operations.

We anticipate continuing to increase our focus on supply chain management initiatives, including expansion of international sourcing and private label opportunities.

We believe a handful of factors will contribute to our future growth:

• Continued growth of the installed base of
   swimming pools;
• Expansion of our existing service centers
   through continued execution of our
   sales, marketing and service programs;
• Growth in complementary product sales;
• Sales from acquired service centers, including
   Horizon;
• The anticipated opening of five to ten new
   service centers in 2006;
• Expected product price increases passed
   through the supply chain.

The growth of our business depends on the expansion of the installed pool base, which is tied to the growth of the pool industry as a whole. To support this effort, POOLCORP is expanding its advertising and promotional programs. This strategy is designed to raise consumer awareness of the benefits and affordability of pool ownership; the ease of pool maintenance; and the many ways a pool may be enjoyed beyond swimming.

 

2001, we have opened 23 new service centers and have completed 13 acquisitions including Horizon Distributors Inc. (Horizon) in October 2005.

Horizon is a leading regional wholesale distributor of irrigation and landscape products serving professional contractors in the landscape construction and maintenance markets. We believe this transaction brings added depth and diversity to our operations through an extension of our complementary products offerings and furthers our objective of being the concept-to-completion resource for pool and landscaping contractors. Horizon is a natural addition to our business, as irrigation and landscaping are often key components to enhancing the quality of outdoor home life.

We further increased our service base again in October 2005 with the acquisition of B&B s.r.l. (Busatta), a swimming pool supply distributor based in the northwestern Italian city of San Bernardo d'Ivrea, near Turin. Busatta is our first location in Italy, furthering our presence in the European market.

These additions to the POOLCORP family have expanded our network to include an additional 93 service centers (net of service center closings and consolidations) and a centralized shipping location to our distribution networks. In addition to our US operations we have wholly owned subsidiaries in Canada, Mexico, the United Kingdom, France, Portugal, Spain and Italy.

As of December 31, 2005, POOLCORP and its wholly owned subsidiaries maintained 246 service centers in North America and Europe from which we sell swimming pool equipment, parts and supplies and irrigation and landscape products to pool builders, retail stores, service companies and landscape contractors. We distribute products through three networks: the SCP Distributors (SCP) network, the Superior Pool Products (Superior) network and the Horizon network.

 

 

Media advertising, web site development (including our anchor site www.swimmingpool.com) and public relations campaigns are all part of our overall marketing program. We believe these initiatives will benefit the entire industry – from our suppliers to our customers.

As always, we continue to promote the growth of our customers’ businesses through comprehensive support programs that offer promotional tools and marketing support, leading to increased sales for our customers. Our extensive program line includes personalized web sites, brochures, marketing campaigns and business development training, just to name a few. We also provide certain retail store customers with assistance in site selection, store layout and design and business management system implementation.

We have experienced substantial sales growth through acquisitions and new service center openings that have increased our size, scope and geographic distribution. Since
